The Technology & High-Tech Department of Eitan, Mehulal & Sadot supports and advises technology companies at all stages of development, from pre-seed stage companies, through larger and well-established companies, both Israeli companies operating in Israel and overseas and foreign companies operating in Israel.

The department provides its clients with services tailored to high-tech companies, including:

  • Start-up company support program:
    • Establishment and fulfillment of the provisions of any law, including preparation of the company, from its inception, for future sale or investment transactions.
    • Preparation of preliminary agreements, including: founders' agreements, pre-seed financing agreements, IP assignment agreements and NDAs.
      Advice on business models, the appropriate legal and tax structure therefor and the agreements required in order to help achieve such models.
    • Intellectual property: strategy and planning for protecting the intellectual property, taking into account low budget considerations, suited to the capabilities of start-up companies.
    • Human resources: Cash and equity incentive programs, employment contracts and employment policy.
  • Financing Activities and Investments, including:
  • Private equity, venture capital transactions, debt financing, government funding.
  • Support and advice to companies during funding cycles, including preparation for due diligence investigations, negotiation of term sheets, preparation of investment documents and closing the required agreements.
  • Representation of private investors and funds, including conducting due diligence reviews, negotiation of investments and follow-on advice on portfolio companies.
  • Mergers and Acquisitions - structuring all aspects of the transaction, including tax elements, due diligence, negotiation and assisting the companies to prepare for the post closing operations.
  • Technology Transactions - licensing, technology development, OEM agreements, joint ventures, strategic alliances, turn-key projects, end user license agreements, evaluation agreements, VAR agreements and SLA policies.
  • Commercial Agreements - distribution agreements, franchise agreement, reseller and dealer agreements, RFPs, supplier agreements, marketing agreements, agent contracts.
  • Internet Policies - terms and conditions, privacy policies, content and copyright issues, click-through agreements and on-line sale issues.
  • Open Source - advise on proper use and policies.
  • Employee Compensation – planning executive compensation and employee share option plans, including tax elements.
